Terms of Service

These Terms are a binding agreement between you and Imazho. Please read them carefully. They include an arbitration agreement and class-action waiver (Section 13) that affect how disputes are resolved.

1. Acceptance of terms

By creating an account or using imazho.com or the Imazho applications and services (the “Service”), you agree to these Terms of Service and to our Privacy Policy. If you do not agree, do not use the Service.

2. Eligibility

You must be at least 16 years old (or the age of digital consent in your country) and able to form a binding contract. If you use the Service on behalf of an organization, you represent that you are authorized to bind it to these Terms.

3. Your account & encryption keys

  • You are responsible for safeguarding your credentials and for all activity under your account.
  • Imazho is end-to-end encrypted. Your passphrase and recovery key are generated and held by you. We cannot reset your passphrase or recover your content if you lose your key. You are solely responsible for keeping your recovery key safe.
  • Notify us promptly at support@imazho.com of any unauthorized use.

4. Acceptable use

You agree not to use the Service to:

  • Violate any law or infringe others’ rights (including IP and privacy);
  • Store or share unlawful content, including child sexual abuse material (CSAM), which is strictly prohibited and will be reported to authorities to the extent we are able and legally required;
  • Attempt to breach security, reverse engineer (except as permitted by law), or disrupt the Service;
  • Resell or abuse the Service, or use it to send spam or malware.

5. Your content

You retain all rights to the content you upload. Because your content is end-to-end encrypted, we cannot access it; you grant us only the limited, non-exclusive license necessary to store, transmit, back up, and sync the encrypted data to operate the Service. You are responsible for your content and for having the rights to store it.

6. Subscriptions, trials, billing & cancellation

  • Free trial: Paid plans may include a 14-day free trial. Unless you cancel before the trial ends, your plan converts to a paid subscription and the applicable fee is charged.
  • Auto-renewal: Subscriptions renew automatically (monthly or annually) until cancelled. You authorize us and our payment processor to charge your payment method each period.
  • Cancellation: You may cancel anytime from your account settings; cancellation takes effect at the end of the current billing period.
  • Refunds: Except where required by law (including statutory withdrawal/“cooling-off” rights in the EU/UK), payments are non-refundable.
  • Price changes: We may change prices with prior notice; changes apply to the next billing period.
  • Taxes: Fees are exclusive of taxes, which we collect where required.

7. Intellectual property

The Service, including its software, design, and trademarks (including “Imazho”), is owned by Imazho and protected by law. We grant you a limited, revocable, non-transferable license to use the Service for personal, non-commercial use in accordance with these Terms.

8. Suspension & termination

You may stop using and delete your account at any time. We may suspend or terminate access if you violate these Terms, fail to pay, or to protect the Service or others. On termination, your right to use the Service ceases; data deletion is handled as described in the Privacy Policy.

9. Disclaimers

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT, TO THE MAXIMUM EXTENT PERMITTED BY LAW. We do not warrant that the Service will be uninterrupted, error-free, or that data loss will never occur. Maintain your own copies of important content.

10. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, Imazho WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF DATA, PROFITS, OR GOODWILL. OUR TOTAL LIABILITY FOR ANY CLAIM RELATING TO THE SERVICE WILL NOT EXCEED THE GREATER OF THE AMOUNT YOU PAID US IN THE 12 MONTHS BEFORE THE EVENT OR USD $100. Some jurisdictions do not allow certain limitations, so some of the above may not apply to you, and nothing here limits liability that cannot be limited by law (e.g., for death or personal injury caused by negligence, or fraud).

11. Indemnification

You agree to indemnify and hold Imazho harmless from claims arising out of your content or your misuse of the Service, except to the extent prohibited by law.

12. Your statutory consumer rights

Nothing in these Terms excludes or limits rights you have as a consumer under mandatory laws of your country of residence (for example, EU/UK consumer protection and statutory guarantees, or Australian Consumer Law). Where such laws apply, they take precedence over any conflicting term.

13. Governing law & dispute resolution

Informal resolution first: Please contact support@imazho.com so we can try to resolve any dispute informally.

Arbitration & class waiver (where enforceable): Where permitted by law, you and Imazho agree to resolve disputes through binding individual arbitration rather than in court, and to waive participation in class actions. This does not apply where prohibited — consumers in the EU, UK, and other regions retain the right to bring claims in their local courts and to use available alternative dispute resolution, and may opt out of arbitration as described in any opt-out notice we provide.

14. Changes to these terms

We may update these Terms. We will post the updated version with a new date and, for material changes, provide reasonable notice. Continued use after changes take effect constitutes acceptance.
